He is licensed to practice in both Oregon and Washington. He has assisted numerous clients in securing land use approvals, and has negotiated and drafted architect services agreements and construction contracts for large commercial projects. · The Greenbrier Companies, Inc. - Joe represented Greenbrier Rail Services, a wholly owned subsidiary of The Greenbrier Companies, Inc., in connection with construction of a rail-car wheel facility in North Platte, Nebraska. This representation included negotiation of the equipment purchase and installation agreement and the design-build construction contracts for the facility. · Gunderson LLC - Joe, along with two members of the firm's litigation department, successfully appealed a City of Portland ordinance to the Oregon Land Use Board of Appeals ("LUBA") and to the Oregon Land Conservation and Development Commission ("LCDC"). The ordinance in question, the River Plan/North Reach ordinance, would have substantially restricted development in the City's industrial sanctuary area along a 12-mile stretch of the Willamette River. At LUBA, the Tonkon Torp team successfully argued that the City failed to properly analyze the impact the River Plan would have on the City's supply of industrial land, especially prime industrial land along the river, as required by state land use law. At LCDC, Joe successfully argued that the City had failed to follow the applicable state procedures in amending its Willamette River Greenway Boundary. Following these decisions, the River Plan/North Reach ordinance appears to have been tabled for the foreseeable future. · Winkler Development Corporation - Joe represented Winkler Development Corporation in its acquisition of Mississippi Avenue Lofts, a partially completed mixed use project in Northeast Portland from two local banks that were in the process of foreclosing their loans on the project. Joe negotiated and drafted amendments to loan participation agreements, assignments to rights under various loan documents, construction contracts, architectural agreements and commercial leases, as well as the agreement which governed the sale and assignment of the ownership interests in the project. Following acquisition of the project and completion of construction, Joe assisted the owner of the project in refinancing the indebtedness. · Washington Capital Management - Joe represented the owner of the InFocus Building in Wilsonville, Oregon in negotiating and preparation of a long term lease with an option to purchase with the Oregon Institute of Technology. Under the terms of the lease, the 132,000 square foot building, previously the corporate headquarters of InFocus Corporation, is being converted into education classrooms, research space and administrative offices which will constitute the Portland area campus of the Oregon Institute of Technology. · REEF Fourth & Market LLC - Joe represented REEF Fourth & Market LLC in the sale of the Market Center Building, a 122,000 square foot facility in downtown Portland, to Portland State University. Sale price: $24,000,000. · Madrona Watamull LLC - Joe represented Madrona Watumull LLC in connection with the bankruptcy of a big box retail tenant that had leased four retail locations and the bankruptcy entity's headquarters/distribution center in Wilsonville, Oregon. After recapturing the retail locations from the bankruptcy trustee, he assisted the landlord in negotiating and preparing new leases with Dick's Sporting Goods for three of the retail locations. The total square footage of the new leases exceeded 175,000 square feet. · IKEA Property, Inc. - Joe represented IKEA in connection with its 285,000 square foot retail facility in Portland. He assisted IKEA in obtaining zoning code amendments from the City of Portland and counseled the company in connection with its agreements with the FAA, the Port of Portland, the Portland Development Commission and the State of Oregon Highway Department. Joe also assisted IKEA in connection with the company's construction of its 1,200,000 square foot distribution facility in Tacoma, Washington. He represented the company in acquiring 68 acres of land from the Port of Tacoma and advised the company on entitlement and construction issues. · Winkler Development Corporation - Joe represented Winkler Development Corporation and its related entities in the acquisition of Westbrooke Corporate Center, a 170,000 square foot business center in Hillsboro, Oregon. Purchase price: $19,050,000.
