Biography:
Carol's financial services and securities practice includes mergers and acquisitions of private and public companies, and private and public offerings of securities.

Representing clients in the financial services industry, she counsels investment advisers, broker-dealers, private investment funds, banks and trust companies on a wide variety of organizational, business, compliance and regulatory matters.

Carol has extensive experience forming and maintaining private investment funds. These include pooled investment funds, common trust funds, limited partnerships and limited liability companies.

Some of Carol's recent transactions include:

• Represented Orca Investment Management, LLC in its acquisition of KLD Investment Management, LLC
  
  
• Represented Western Pacific Investment Advisers, Inc. in its acquisition by Coldstream Capital Management Inc.
  
  
• Represented Mid-Valley Bank in its acquisition by West Coast Bancorp
